These Terms of Service (Terms) apply to use of the EMteja website and, where incorporated into an order form or service agreement, the services supplied by Infocus Technologies L.L.C-FZ ("EMteja", "we", "us" or "our"). The contracting entity and service scope will be identified in the applicable order form or agreement.
1. Use of the website and services
You must use the website and services lawfully, provide information you are authorised to provide, protect your access credentials and not misuse, disrupt, reverse engineer or attempt unauthorised access to the services, except to the extent such restriction is prohibited by law.
2. Service scope and customer responsibilities
The services, features, implementation work, support, fees and any service levels are those expressly described in the applicable order form or signed agreement. Website descriptions are informational and do not expand that agreed scope.
You are responsible for the accuracy, completeness and legality of information and invoice data you submit; your ERP and other systems; your user access; and your own tax, accounting, recordkeeping and regulatory obligations. EMteja does not provide tax or legal advice and does not guarantee that customer data or a particular transaction is compliant.
Our core services include: Accredited Service Provider (ASP) solutions, UAE Federal Tax Authority (FTA) compliance, Peppol DCTCE framework implementation, real-time invoice validation and reporting, XML/JSON invoice processing, and VAT compliance verification.
3. Fees and payment
Fees, invoicing, taxes, payment deadlines and any implementation or transaction charges are set out in the applicable order form or agreement. If there is no signed order form, no paid service is created merely by browsing this website.
To use our services, you must: be a legally registered business entity, have valid business licenses, meet VAT registration requirements, comply with local regulations, and provide accurate business information.
4. Availability, changes and suspension
Unless a service level is expressly agreed in writing, services are provided subject to maintenance, updates, security measures, third-party dependencies and operational requirements. We may suspend or restrict access where reasonably necessary for security, legal compliance, non-payment, misuse or material risk to the services or other users, and will provide notice where reasonably practicable and lawful.
5. Intellectual property
EMteja and its licensors retain rights in the website, software, documentation, names, logos and related materials. You receive only the rights expressly granted under the applicable agreement. You retain rights in your data.
6. Confidentiality and data protection
Each party must protect confidential information received from the other and use it only for the relevant business relationship, subject to disclosures required by law. Where EMteja processes personal data on a customer's behalf, the applicable Data Processing Addendum (DPA) or written data-processing terms apply.
7. Disclaimers
To the extent permitted by law, the website and information on it are provided on an "as available" basis. We do not warrant that the website will be uninterrupted or error-free, or that general website information is complete or suitable for a particular purpose. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
8. Limitation of liability
To the maximum extent permitted by applicable law, neither party is liable to the other for indirect, incidental, special, punitive or consequential loss, or loss of profits, revenue, business, goodwill or anticipated savings, arising from the website or services.
For paid services, EMteja's aggregate liability arising out of or in connection with the relevant services will not exceed the fees paid or payable by the customer for those services during the twelve (12) months before the event giving rise to the claim, (with a maximum of AED 500,000 per occurrence.) unless the applicable signed agreement states a different cap. This limitation does not apply to liability that cannot lawfully be excluded or limited. Any exclusions, caps and carve-outs remain subject to applicable law and the signed agreement.
9. Termination
Termination, suspension, data return or deletion, transition assistance and any associated charges are governed by the applicable order form or agreement. If no separate agreement applies, we may discontinue access to the website where reasonably necessary, subject to applicable law.
10. Governing law and disputes
The governing law and dispute forum for paid services are those stated in the applicable signed agreement. For website-only use, these Terms are governed by the laws applicable in the Emirate of Dubai and the United Arab Emirates, subject to mandatory law and the jurisdiction of the competent courts.
11. Changes and contact
We may update these Terms by posting a revised version with an updated date. Changes to an existing customer's contractual rights are governed by the applicable agreement.
